Terms and conditions.

These terms apply to the use of makeitso.be and summarise how a collaboration with Make IT So works. For every assignment we sign an agreement together, which always takes precedence over this page. In the event of any discrepancy between language versions, the Dutch version prevails.

1. Who we are

Make IT So BV, with its registered office at Agnes Haegenshof 5, 2860 Sint-Katelijne-Waver, registered in the Crossroads Bank for Enterprises under number BE 0627.723.820, represented by Jan Festjens. You can reach us at lets@makeitso.be or +32 473 52 49 31.

2. What these terms apply to

These terms apply to the use of this website and set out the general framework within which we deliver our services. For every specific assignment, Make IT So and the client sign a Master Services Agreement with one or more Statements of Work. In the event of a conflict between this page and a signed agreement, the signed agreement prevails.

3. Use of the website

The content of makeitso.be is intended as general information about our services and way of working. It does not constitute advice for a specific situation, and no agreement is formed by consulting the website.

  • All texts, images, logos and other content on this website are the property of Make IT So or of their respective rights holders. Reuse is only permitted with our prior written consent.
  • We do our best to keep the information correct and up to date and the website available, but we cannot guarantee uninterrupted availability or that it is entirely free of errors.
  • Links to third-party websites are for information only; we are not responsible for their content or operation.

4. Quotes and assignments

We record every assignment in a Statement of Work signed by both parties: what we do, for what fee and within what timeframe. Either party requests changes to the scope in writing; a change only becomes binding once both parties have approved it in writing.

Good work requires collaboration in both directions. Our planning and prices assume timely cooperation and correct and complete information from the client. If the scope changes, an assumption proves incorrect or a dependency fails to materialise, price and timing may change accordingly.

5. Prices and payment

  • All prices exclude VAT and other levies; these are shown separately on the invoice.
  • We only charge costs and expenses with prior written agreement and supporting documents.
  • For time-and-materials work we invoice monthly after the services delivered, with an advance of 50% of the agreed budget. For a fixed price we invoice 50% at the start and 50% on delivery, unless the Statement of Work provides otherwise.
  • Invoices are payable in euros within 15 days of the invoice date.
  • In the event of late payment, interest of 1.5% per month is due by operation of law from the due date, plus reasonable collection costs. If an undisputed amount remains unpaid for more than 15 days after the due date, we may suspend our services until payment is received.
  • If you wish to dispute an invoice, do so in writing and with reasons within 15 days of the invoice date; after that, the invoice is deemed accepted. The undisputed part remains payable in the meantime.

6. Intellectual property

  • What each party already owned before the collaboration remains that party's property.
  • Generic ways of working, methodologies, frameworks and reusable components that Make IT So develops or uses remain the property of Make IT So. After full payment, the client receives a personal, non-exclusive and non-transferable right of use for its own internal operations.
  • What we create specifically for the client, we transfer to the client after full payment of the fees. If it incorporates generic or pre-existing property of Make IT So, the client receives a right of use to the extent necessary to use what was delivered.
  • We may continue to use the knowledge, ideas and experience we build up during an assignment.

7. Confidentiality

Each party treats the other party's confidential information with at least the same care as its own confidential information, and uses it solely for the collaboration. This obligation does not apply to information that is already public, that the receiving party already lawfully possessed or developed independently, or that must be disclosed by order of a court or regulator.

8. Duration and termination

  • A collaboration runs for an indefinite period. Either party may terminate it in writing with 30 days' notice. Services up to the end date are paid at the agreed rates.
  • In the event of a serious breach that is not remedied within 30 days of written notice, or in the event of bankruptcy or liquidation of a party, the other party may terminate the collaboration with immediate effect.
  • After termination, the client returns all materials and information belonging to Make IT So.

9. Liability

We perform our services with reasonable care and skill, in line with good practice in our profession.

  • Our total liability per assignment is limited to the amount of the fees (excluding VAT and expenses) paid under the relevant Statement of Work.
  • We are not liable for indirect or consequential damage, such as loss of turnover or profit, loss of contracts or goodwill, business interruption, loss of or damage to data, or reputational damage.
  • Nothing in these terms excludes liability that cannot be excluded by law, such as for death or personal injury caused by negligence.
  • For the website: decisions you make based on the information on makeitso.be remain your responsibility.

10. Team and freelancers

To carry out assignments, Make IT So may call on regular freelancers and partners who work for us under their own agreements. During the collaboration and for one year after it ends, the client will not recruit, directly or indirectly, any employees or regular freelancers of Make IT So. If this does happen, a fee of twelve times the last full monthly fee of the person concerned is due.

11. Governing law

These terms and every collaboration with Make IT So are governed by Belgian law. We first try to resolve disputes through mutual consultation; if that does not succeed within a reasonable period, the courts of Mechelen have exclusive jurisdiction.
